We have an exciting opportunity for a Chinese-speaking Attorney role in a USA-based law firm. It is a dynamic, full-service law practice with offices in California, New York, and international locations. Though smaller in size, the firm is composed primarily of senior and partner-level attorneys, offering high-caliber legal services to businesses ranging from startups to established public companies. They are seeking a sharp, diligent, and highly responsible attorney licensed in California who can serve as a corporate and litigation generalist. The role offers ample opportunities based on expertise, along with significant flexibility in remote work and scheduling.
Job Requirements:
- J.D. degree from a recognised law school (premier law schools are preferred).
- State Bar membership along with good standing in at least one state
- 2+ years of experience in securities law, corporate finance, and M&A transactions (some flexibility for a quick learner)
- Experience with litigation is a plus.
- Experience with California employment law is a plus.
- Proven ability to draft and negotiate transaction documentation, such as private placements, mergers and acquisitions, public offerings (IPOs), and other contracts; demonstrated knowledge of SEC and FINRA regulations
- Expertise in providing clients with advice regarding federal and state securities laws and regulations
- Capability to work independently with minimal supervision.
- Experience in large firms is advantageous.
- Fluency in Mandarin is required; Cantonese is preferred but not required.

Job Responsibilities:
- Engaging with clients to understand their legal needs and concerns while offering informed guidance.
- Crafting strategies to achieve favorable and cost-effective case resolutions. Clarifying legal options for clients and highlighting potential risks or outcomes. Establishing strong, trust-based relationships with clients.
- Formulating arguments and advocating for clients in both criminal and civil proceedings.
- Drafting precise and timely legal documents, including contracts, depositions, and pleadings.
- Keeping up-to-date with relevant legislation, particularly within specialized legal fields.
- Identifying ethical and effective solutions to legal challenges.
